TERMS
AND CONDITIONS

| TERMS: |
Open
credit terms, when granted by the Credit Department, are net thirty
(30) days. Legal interest rate is applicable on all past due amounts.
|
|
TAXES: |
All prices are subject to Federal, State and/or local taxes, unless
Buyer provides a valid exemption certificate.
|
| FREIGHT: |
Shipments
will be F.O.B. Ricoh's manufacturing plant or distribution center.
|
| TITLE
AND RISK OF LOSS: |
Title
to and risk of less or damage to the product shall pass to Buyer upon
delivery by Ricoh to the common carrier.
|
|
ACCEPTANCE: |
All
orders are subject to acceptance by Ricoh.
|
| SHIPMENTS: |
All
shipping dates are approximate and are based on availability of material,
production schedules and receipts of all necessary information.
|
| DELAYS: |
Ricoh
shall not be liable for any damage, loss, or expense arising out of
a delay caused by any condition beyond Ricoh's control.
|
| CANCELLATION
/ MODIFICATION: |
Buyer
cannot cancel or modify an order or defer shipment after the order
has been accepted by Ricoh, unless Ricoh consents in writing.
|
| RETURNS: |
Returns will
not be accepted except in the case of defective materials. Claims
must be made within ninety (90) days of the initial shipment and
returns will not be accepted without prior written authorization
from Ricoh.
All sales shall be governed by the laws of the State of California.
